General Terms and Conditions (B2B – Control Cabinet Manufacturing / Industry)
Below you will find the English version of the general contractual framework based on the current German AGB page of ETB Elektrotechnik.
§1 Scope
These General Terms and Conditions apply to all contracts between ETB Elektrotechnik Sp. z o.o. and entrepreneurs within the meaning of Section 14 of the German Civil Code (BGB).
Our services are directed exclusively to business customers (B2B).
§2 Conclusion of Contract
Offers are subject to change and non-binding. A contract is concluded only upon written order confirmation.
§3 Scope of Services
The scope of services results from:
- the written offer,
- technical documentation (e.g. EPLAN, bills of materials),
- individual agreements.
Any changes require written confirmation.
§4 Prices and Terms of Payment
All prices are net prices plus the applicable statutory value added tax.
Unless otherwise agreed:
- 30% advance payment upon placement of the order,
- remaining payment before delivery.
In the event of late payment, we are entitled to charge statutory default interest.
§5 Delivery and Delivery Time
Delivery dates are non-binding unless they have been expressly agreed in writing as binding.
Force majeure and unforeseeable events entitle us to a reasonable extension of the delivery period.
§6 Retention of Title
The delivered goods remain the property of ETB Elektrotechnik Sp. z o.o. until full payment has been received.
§7 Warranty
The statutory warranty rights apply.
For B2B transactions, the warranty period is 12 months from delivery unless otherwise agreed.
§8 Liability
Liability is limited to intent and gross negligence.
In cases of ordinary negligence, we are liable only for the breach of essential contractual obligations.
Liability for loss of profit is excluded.
§9 Place of Jurisdiction and Applicable Law
The law of the Republic of Poland applies, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).
The place of jurisdiction is the registered office of the company, provided the customer is a merchant.
